Terms of Service for GMGD
Effective Date: 01/01/2024
1. Introduction 
These Terms of Service govern the relationship between GMGD (“we,” “us,” or “our”) and our clients (“you” or “your”) regarding our graphic design services.
2. Services 
We offer graphic design services, including but not limited to branding, marketing materials, digital content, and other related services. Specific services will be outlined in the proposal or agreement for each project.
3. Project Scope, communication and Pricing
The scope of each project will be defined in a written proposal. 
Project Briefs: 
Clients are required to provide a detailed project brief that outlines objectives, preferences, and specific requirements. To ensure a comprehensive brief, the designer will ask the customer to respond to questions and provide any reference materials. This collaborative process helps clarify objectives and preferences, setting a strong foundation for the project. Additionally, customers should provide essential information, including target audience details, budget constraints, key timelines, brand guidelines, inspiration materials, and specific technical requirements. The scope of each project will be defined in a written proposal, ensuring alignment between the client's vision and the designer's execution.
Communication
Effective communication is essential for project success. Clients agree to respond promptly to requests for feedback and clarifications. We will establish regular check-ins to discuss progress and address any concerns. As experts in the field, we value client input and collaboration. To facilitate a smooth and productive workflow, we will guide the process by establishing specific points for feedback and approval throughout the project. Lack of timely communication may impact project timelines. 
Pricing
Pricing will be agreed upon before work commences. Additional work outside the original scope may incur extra charges.
4. Payment Terms
A deposit of a pre-agreed percentage is required before starting any project.
Final payment is due upon project completion and delivery of final files. Payment terms, including deposits and final payments, will be outlined in the project agreement. Timely payments are crucial for project continuity.
Payments can be made via bank transfer, cash or PayPal.
5. Revisions and Scope Changes
Included revisions will be clearly outlined in the project agreement. 
Apps and sharing methods for revisions and feedback will be pre-agreed upon, with options including free tools like Google Drive and Figma, as well as Adobe applications.
Additional revisions beyond the agreed-upon rounds may incur extra charges.
Definition of Scope Change: A scope change occurs when the client requests modifications to the project that significantly alter the original design brief, including changes in style, concept, or deliverables.
Notification: Clients must notify the designer in writing of any desired changes.
Impact on Timeline: Any scope change may affect the project timeline. The designer will provide a revised schedule reflecting the new delivery dates.
Additional Costs: Scope changes may incur additional costs. The designer will provide an estimate for the extra work involved before proceeding with the changes.
Approval Process: All proposed changes will require written approval from the client before implementation.
Limitations: Repeated scope changes may result in project delays and increased costs. The designer reserves the right to set limits on the number of revisions or changes included in the original project fee.
Final Deliverables: The final deliverables will be based on the approved project scope. Any changes made after the final approval may not be accommodated without additional fees.
Last-Minute Requests
Requests for significant changes made less than 72 hours before a deadline may result in additional charges and affect the overall project timeline. We recommend finalizing all major decisions as early as possible to ensure the best results.
6. Delivery of Work
Deliverables will be provided in agreed formats via email, a pre-agreed file transfer service, and/or Adobe or other design tools/apps.
Estimated delivery times will be communicated in advance but are subject to change based on project scope.
7. Ownership and Copyright
All rights to any work produced by GMGD (the “Designer”) remain with the Designer until full payment is received and the project is finalized. The client (the “Client”) is granted a limited license to review and provide feedback on drafts, but no rights to use the work for any purpose until completion.
Use of Drafts
Clients may not use, reproduce, or distribute any drafts or preliminary work provided by the Designer without prior written consent. Unauthorized use of any materials prior to final approval will be considered a breach of contract.
We retain the right to use the work in our portfolio and for promotional purposes unless otherwise agreed.
8. Confidentiality 
Both parties agree to keep all project-related information confidential. This includes any work in progress and discussions regarding the project.
Non-Disclosure Agreement (NDA)
Clients may be asked to sign a Non-Disclosure Agreement to further protect the Designer's work and concepts. This agreement prohibits clients from disclosing or using any of the Designer's work without permission.
9. Termination 
Either party may terminate the agreement with written notice.
The specific deliverables and phases of the project will be outlined in the project proposal. Any work completed during the project is part of an ongoing process and not final until agreed upon by both parties.
In the event of termination, you will be billed for work completed up to that point. 
Termination Rights
The Designer reserves the right to terminate the project if the Client attempts to use or share unfinished work without permission. In such cases, any fees for work completed up to that point will be due.
Payment Terms
All payments must be made according to the agreed schedule. Failure to make timely payments may result in the suspension of work and forfeiture of rights to the project.
10. Governing Law 
These Terms shall be governed by the laws of England and Wales. 
Acceptance of Terms
By engaging with the Designer, the Client agrees to these Terms of Service. If the Client does not agree to these terms, they must refrain from using the Designer's services.
11. Amendments 
We reserve the right to amend these Terms at any time. Changes will be communicated in advance.
